By participating in the Promotion, you confirm that you accept these Terms and Conditions and agree to comply with them.<\/p><p>\u00a0<\/p><h4><strong>1. Definitions and Interpretation<\/strong><\/h4><p>In these Terms and Conditions, the following words and expressions shall have the following meanings:<\/p><p>1.1 \u201c<strong>Cashback Reward<\/strong>\u201d means each of the First Cashback Reward and the Second Cashback Reward;<\/p><p>1.2 \u201c<strong>Eligible Country<\/strong>\u201d means Austria, Belgium, Bulgaria, Croatia, Cyprus, Czech Republic, Denmark, Estonia, Finland, France, Germany, Greece, Hungary, Iceland, Ireland, Italy, Latvia, Liechtenstein, Lithuania, Luxembourg, Malta, Netherlands, Norway, Poland, Portugal, Romania, Slovakia, Slovenia, Spain, or Sweden, or such other countries or regions as may be notified by WorldFirst to you from time to time;<\/p><p>1.3 \u201c<strong>EUR<\/strong>\u201d means Euro;<\/p><p>1.4 \u201c<strong>First Cashback Reward<\/strong>\u201d shall have the meaning given to such term in clause 3;<\/p><p>1.5 \u201c<strong>FX<\/strong>\u201d means foreign exchange;<\/p><p>1.6 \u201c<strong>ICC<\/strong>\u201d means the International Chamber of Commerce;<\/p><p>1.7 \u201c<strong>Promotion<\/strong>\u201d shall have the meaning given to such term in clause 2;<\/p><p>1.8 \u201c<strong>First<\/strong> <strong>Promotion Period<\/strong>\u201d shall have the meaning given to such term in clause 3;<\/p><p>1.9 \u201c<strong>Promotion Period<\/strong>\u201d means each of the First Promotion Period and the Second Promotion Period;<\/p><p>1.10 \u201c<strong>Second Cashback Reward<\/strong>\u201d shall have the meaning given to such term in clause 4;<\/p><p>1.11 \u201c<strong>Second<\/strong> <strong>Promotion Period<\/strong>\u201d shall have the meaning given to such term in clause 3;<\/p><p>1.12 \u201c<strong>WorldFirst<\/strong>\u201d refers to World First Netherlands B.V.;<\/p><p>1.13 \u201c<strong>World Account Terms<\/strong>\u201d means all of the prevailing terms and conditions, including the privacy policies, governing the World Accounts;<\/p><p>1.14 \u201c<strong>World Card<\/strong>\u201d means the World Card issued by WorldFirst to a World Account user to be used for payments; and<\/p><p>1.15 \u201c<strong>World Card Terms<\/strong>\u201d means all of the prevailing terms and conditions between you and WorldFirst, including the privacy policies, governing the World Cards.<\/p><p><strong>\u00a0<\/strong><\/p><h4><strong>2. Description of the Promotion<\/strong><\/h4><p>A WorldFirst customer (\u201c<strong>Participant<\/strong>\u201d) that is registered in the Eligible Country and satisfies (a) the First Reward Criteria may be eligible to receive the First Cashback Reward; (b) the Second Reward Criteria may be eligible to receive the Second Cashback Reward; and (c) both the First Reward Criteria and Second Reward Criteria may be eligible to receive both the First Cashback Reward and the Second Cashback Reward (the \u201c<strong>Promotion<\/strong>\u201d).<\/p><p><strong>\u00a0<\/strong><\/p><h4><strong>3. Promotion Period<\/strong><\/h4><p>The promotion period for the First Cashback Reward is from 00:00:01 on 11 November 2024 to 23:59:59 on 30 June 2025, both days inclusive (\u201c<strong>First Promotion Period<\/strong>\u201d).<\/p><p>The promotion period for the Second Cashback Reward begins at 00:00:01 on 11 November 2024 (\u201c<strong>Second Promotion Period<\/strong>\u201d).<\/p><p>\u00a0<\/p><h4><strong>4. Cashback Reward<\/strong><\/h4><p>4.1 A Participant may be eligible to receive the First Cashback Reward, provided that during the First Promotion Period:<\/p><p style=\"padding-left: 40px;\">a. such person has successfully applied for one or more World Card(s); and<\/p><p style=\"padding-left: 40px;\">b. such person successfully completes payment transactions using its World Card(s) of any amount.<\/p><p style=\"padding-left: 40px;\">(together, the \u201c<strong>First Reward Criteria<\/strong>\u201d).<\/p><p>4.2 A Participant may be eligible to receive the Second Cashback Reward, provided that during the Second Promotion Period:<\/p><p style=\"padding-left: 40px;\">a. such person has successfully applied for one or more World Card(s); and<\/p><p style=\"padding-left: 40px;\">b. such person successfully completes payment transactions (excluding any First Cashback Reward Transactions, as defined below) using its World Card(s) of any amount.<\/p><p style=\"padding-left: 40px;\">(together, the \u201c<strong>Second Reward Criteria<\/strong>\u201d).<\/p><p>4.3 The \u201c<strong>First Cashback Reward<\/strong>\u201d is as follows:<\/p><p style=\"padding-left: 40px;\">a. for the first EUR 1,000 (or equivalent amount in a different currency or currencies) worth of payment transactions made by the Participant through its World Card(s) since issuance to the Participant and during the First Promotion Period (\u201c<strong>First Cashback Reward Transactions<\/strong>\u201d), the Participant will be entitled to a cashback reward equivalent to 10% of the amount of such payment transactions, up to a maximum total amount of EUR 100;<\/p><p style=\"padding-left: 40px;\">b. The First Cashback Reward shall be credited in EUR to the relevant Participant\u2019s EUR denominated World Account on the last calendar day of the month following the Participant making the relevant First Cashback Reward Transactions.<\/p><p>4.4 The \u201c<strong>Second Cashback Reward<\/strong>\u201d is as follows:<\/p><p style=\"padding-left: 40px;\">a. for any payment transactions other than the First Cashback Reward Transactions made by the Participant through its World Card(s) during the Second Promotion Period (\u201c<strong>Second Cashback Reward Transactions<\/strong>\u201d), the Participant will be entitled to a cashback reward equivalent to 1% of the amount of payment transactions made by the Participant through its World Card(s).<\/p><p style=\"padding-left: 40px;\">b. The Second Cashback Reward shall be credited in EUR to the relevant Participant\u2019s EUR denominated World Account on the last calendar day of the month following the Participant making the relevant Second Cashback Reward Transactions.<\/p><p>4.5 Such World Account must be valid, open and functioning, and must not be suspended, cancelled, and\/or terminated, at the time the Cashback Reward is credited to such account.<\/p><p>4.6 WorldFirst has the sole discretion to delay the crediting of the Cashback Reward for any reason that it deems appropriate, including for the purposes of assessing the eligibility of the relevant Participant.<\/p><p>4.7 The Cashback Reward is not transferable or exchangeable for cash, credit, products, or privileges or other benefits or payments in kind, whether in full or in part, and is not refundable or replaceable.<\/p><p>4.8 A Cashback Reward cannot be used in conjunction with other discounts or promotions, unless otherwise stated.<\/p><p>4.9 Should WorldFirst determine, in its sole discretion, that a Participant is not eligible to receive the Cashback Reward or to participate in the Promotion for any reason (including but not limited to a breach of these Terms and Conditions or any applicable laws or regulations, improper use of any information relating to the Promotion, fraud, attempted fraud, or any other illegal or illegitimate activity), or where WorldFirst has knowledge of subsequent events which would mean that the Participant would not have been entitled to receive the Cashback Reward (including but not limited to where the transactions of such Participant were reversed or refunded), WorldFirst has the right to disqualify such Participant and shall not be liable to any such Participant. WorldFirst further reserves the right to claw back the Cashback Reward or to deduct the value of the Cashback Reward from the Participant\u2019s World Account(s).<\/p><p>\u00a0<\/p><h4><strong>5. Further Terms<\/strong><\/h4><p>5.1 WorldFirst reserves the right to, in its sole discretion, determine and\/or decide all matters relating to or arising in connection with the Promotion and\/or these Terms and Conditions without prior notice. Any such determination and\/or decision will be final and binding.<\/p><p>5.2 To the extent permitted by applicable law, WorldFirst reserves the right to amend the terms of the Promotion, and\/or to suspend or cancel the Promotion at any time, without liability to any party. WorldFirst also reserves the right to extend the Promotion Period in its discretion and these Terms and Conditions shall apply to any such extended Promotion Period. Any amendments to the Promotion will be published on the Promotion webpage and\/or notified to users in an appropriate manner. Following any change or amendment to these Terms and Conditions, your continued participation in the Promotion constitutes your acceptance of the amended Terms and Conditions and the Promotion in force at that time.<\/p><p>5.3 The FX rate that WorldFirst provides for transactions must comply with applicable laws and regulations. Therefore, WorldFirst cannot guarantee that any FX rate finally provided will reflect the discount range described in the Promotion (if applicable).<\/p><p>5.4 All FX transactions are subject to standard compliance requirements and due diligence.<\/p><p>5.5 Each Participant warrants that:<\/p><p style=\"padding-left: 40px;\">5.5.1 it is legally able to participate in the Promotion according to the laws and regulations applicable to it;<\/p><p style=\"padding-left: 40px;\">5.5.2 to the best of its knowledge, all information disclosed by it to WorldFirst is complete, true and accurate;<\/p><p style=\"padding-left: 40px;\">5.5.3 it consents to participate in the Promotion in the capacity of Participant and consents to the use and sharing of its personal data by WorldFirst in accordance with WorldFirst\u2019s Privacy Policies and applicable laws for the purpose of this Promotion; and<\/p><p style=\"padding-left: 40px;\">5.5.4 it will not use the Promotion in any way that WorldFirst (in its sole and absolute discretion) considers to be unreasonable, unethical, excessive, or in bad faith; or in any way that breaches any applicable local, national, or international law or regulation, or that is in any way unlawful, fraudulent, or wrongful, or has any unlawful, fraudulent, or wrongful purpose or effect.<\/p><p>5.6 Participants shall bear all expenses arising from and\/or in connection with participating in the Promotion.<\/p><p>5.7<strong> Severability<\/strong>: Any clauses in these Terms and Conditions determined by any court or other competent authority to be unlawful and\/or unenforceable will be treated as severed from these Terms and Conditions and will not invalidate other clauses of these Terms and conditions which will continue in full effect.<\/p><p>5.8<strong> Third Party Rights<\/strong>: These Terms and Conditions are made for the benefit of Participants of the Promotion, and are not intended to benefit any third party or be enforceable by any third party.<\/p><p>5.9 WorldFirst reserves the right, at its sole discretion, to refuse a claim in connection with the Cashback Reward or Promotion, if it has reasonable grounds to believe that any of the relevant Participants has:<\/p><p style=\"padding-left: 40px;\">5.9.1 breached these Terms and Conditions;<\/p><p style=\"padding-left: 40px;\">5.9.2 misused WorldFirst\u2019s intellectual property rights including trademarks and\/or materials;<\/p><p style=\"padding-left: 40px;\">5.9.3 made any misrepresentations (negligently or fraudulently);<\/p><p style=\"padding-left: 40px;\">5.9.4 abused the Promotion; and\/or<\/p><p style=\"padding-left: 40px;\">5.9.5 engaged in any illegal or criminal activity including fraud in connection with the Promotion or any application for WorldFirst services.<\/p><p>5.10 The World Account Terms and the World Card Terms apply to a Participant and are to be read together with these Terms and Conditions. Please refer to the World Account Terms and the World Card Terms for further information. In the event of any conflict or inconsistency between these Terms and Conditions, and any of the World Account Terms or World Card Terms, these Terms and Conditions shall prevail only to the extent of matters relating to the Promotion. In the event of any conflict or inconsistency between these Terms and Conditions and any terms set out in any marketing materials prepared for the Promotion, these Terms and Conditions shall prevail. While all information provided herein is believed to be correct and reliable at the time of printing or publishing or posting online, WorldFirst makes no representation or warranty whether expressed or implied, and accepts no responsibility or reliability for its completeness or accuracy.<\/p><p>5.11 To the fullest extent permitted by applicable law, under no circumstances will WorldFirst or any of its affiliates be liable under any theory of tort, contract, strict liability or other legal or equitable theory for lost profits, indirect, incidental, special, consequential, exemplary, or punitive damages, each of which is excluded by agreement of WorldFirst and you regardless of whether such damages were foreseeable or whether WorldFirst or any person has been advised of the possibility of such damages. Notwithstanding anything in these Terms and Conditions to the contrary, WorldFirst \u2018s cumulative liability, including for claims, expenses, damages or indemnity obligations under or in connection with its obligations under these terms and conditions, will not exceed USD$500,000. In no event shall WorldFirst, its affiliates, agents, representatives, directors, officers, or employees be liable for any act or omission resulting from circumstance beyond their reasonable control. To the fullest extent permitted by applicable law, you hereby waive any and all rights to bring any claim or action related to this Promotion beyond one (1) year from the first occurrence of the act, event, condition or omission on which such claim or action is based.<\/p><p>5.12<strong> Governing law and dispute resolution<\/strong>: These Terms and Conditions shall be governed by and construed in accordance with the laws of the Netherlands. All disputes arising out of or in connection with these Terms and Conditions, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the ICC in accordance with the Rules of Arbitration of the International Chamber of Commerce for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Paris. The Tribunal shall consist of one arbitrator. Actieomschrijving<\/strong><\/h4><\/div><div class=\"x-text x-content e6380-e22 m4x8-g m4x8-j m4x8-l m4x8-m\">Een klant van WorldFirst (&#8220;<strong>Deelnemer<\/strong>&#8220;) die geregistreerd is in het In Aanmerking Komend Land en voldoet aan (a) de Eerste Beloningscriteria, kan in aanmerking komen om de Eerste Cashback-beloning te ontvangen; (b) de Tweede Beloningscriteria, kan in aanmerking komen om de Tweede Cashback-beloning te ontvangen; en (c) zowel de Eerste Beloningscriteria als de Tweede Beloningscriteria, kan in aanmerking komen om zowel de Eerste Cashback-beloning als de Tweede Cashback-beloning te ontvangen (de &#8220;<strong>Actie<\/strong>&#8220;).<\/div><div>\u00a0<\/div><div class=\"x-text x-content e6380-e23 m4x8-g m4x8-j m4x8-k m4x8-l\"><h4><strong>3. Actieperiode<\/strong><\/h4><\/div><div class=\"x-text x-content e6380-e24 m4x8-g m4x8-j m4x8-l m4x8-m\"><p>De actieperiode voor de Eerste Cashback-beloning is van 00:00:01 op 11 november 2024 tot 23:59:59 op 30 juni 2025, beide dagen inbegrepen (&#8220;<strong>Eerste Actieperiode<\/strong>&#8220;).<\/p><p>\u00a0<\/p><p>De actieperiode voor de Tweede Cashback-beloning begint om 00:00:01 op 11 november 2024 (&#8220;<strong>Tweede Actieperiode<\/strong>&#8220;).<\/p><p>\u00a0<\/p><\/div><div class=\"x-text x-content e6380-e25 m4x8-g m4x8-j m4x8-k m4x8-l\"><h4><strong>4. Cashback-beloning<\/strong><\/h4><\/div><div class=\"x-text x-content e6380-e26 m4x8-g m4x8-j m4x8-l m4x8-m\"><p>4.1 Een Deelnemer kan in aanmerking komen om de Eerste Cashback-beloning te ontvangen, op voorwaarde dat tijdens de Eerste Actieperiode:<\/p><p style=\"padding-left: 40px;\">a. deze persoon met succes een of meer World Card(s) heeft aangevraagd; en<\/p><p style=\"padding-left: 40px;\">b. deze persoon met succes betalingstransacties uitvoert met zijn World Card(s), ongeacht het bedrag.<\/p><p style=\"padding-left: 40px;\">(samen, de &#8220;<strong>Eerste Beloningscriteria<\/strong>&#8220;).<\/p><p>4.2 Een Deelnemer kan in aanmerking komen om de Tweede Cashback-beloning te ontvangen, op voorwaarde dat tijdens de Tweede Actieperiode:<\/p><p style=\"padding-left: 40px;\">a. deze persoon met succes een of meer World Card(s) heeft aangevraagd; en<\/p><p style=\"padding-left: 40px;\">b. deze persoon met succes betalingstransacties (Eerste Cashback-beloning Transacties, zoals hieronder gedefinieerd, uitgezonderd) uitvoert met zijn World Card(s), ongeacht het bedrag.<\/p><p style=\"padding-left: 40px;\">(samen, de &#8220;<strong>Tweede Beloningscriteria<\/strong>&#8220;).<\/p><p>4.3 De &#8220;<strong>Eerste Cashback-beloning<\/strong>&#8221; is als volgt:<\/p><p style=\"padding-left: 40px;\">a. voor de eerste 1.000 EUR (of gelijkwaardig bedrag in een andere valuta of valuta&#8217;s) aan betalingstransacties die de Deelnemer doet via zijn World Card(s) sinds uitgifte aan de Deelnemer en tijdens de Eerste Actieperiode (&#8220;<strong>Eerste Cashback-beloning Transacties<\/strong>&#8220;), heeft de Deelnemer recht op een cashback-beloning gelijk aan 10% van het bedrag van dergelijke betalingstransacties, tot een maximum totaalbedrag van 100 EUR;<\/p><p style=\"padding-left: 40px;\">b. De Eerste Cashback-beloning zal in EUR op de in EUR uitgedrukte World Account van de relevante Deelnemer worden gecrediteerd op de laatste kalenderdag van de maand volgend op de maand waarin de Deelnemer de betreffende Eerste Cashback-beloning Transactie heeft verricht.<\/p><p>4.4 De &#8220;<strong>Tweede Cashback-beloning<\/strong>&#8221; is als volgt:<\/p><p style=\"padding-left: 40px;\">a. voor alle andere betalingstransacties dan de Eerste Cashback-beloning Transacties gedaan door de Deelnemer via zijn World Card(s) tijdens de Tweede Actieperiode (&#8220;<strong>Tweede Cashback-beloning Transacties<\/strong>&#8220;), zal de Deelnemer recht hebben op een cashback-beloning gelijk aan 1% van het bedrag van de betalingstransacties gedaan door de Deelnemer via zijn World Card(s).<\/p><p style=\"padding-left: 40px;\">b. De Tweede Cashback-beloning zal in EUR gecrediteerd worden op de in EUR uitgedrukte World Account van de relevante Deelnemer op de laatste kalenderdag van de maand volgend op de maand waarin de Deelnemer de betreffende Tweede Cashback-beloning Transactie heeft verricht.<\/p><p>4.5 Een dergelijke World Account moet geldig, open en functionerend zijn en mag niet opgeschort, geannuleerd en\/of be\u00ebindigd zijn op het moment dat de Cashback-beloning op deze rekening wordt gecrediteerd.<\/p><p>4.6 WorldFirst kan naar eigen oordeel de creditering van de Cashback-beloning uitstellen om welke reden dan ook die zij gepast acht, inclusief om de geschiktheid van de relevante Deelnemer te beoordelen.<\/p><p>4.7 De Cashback-beloning is niet overdraagbaar of inwisselbaar voor contant geld, krediet, producten of privileges of andere voordelen of betalingen in natura, geheel of gedeeltelijk, en is niet terugbetaalbaar of vervangbaar.<\/p><p>4.8 Een Cashback-beloning kan niet worden gebruikt in combinatie met andere kortingen of acties, tenzij anders vermeld.<\/p><p>4.9 Indien WorldFirst naar eigen oordeel bepaalt dat een Deelnemer niet in aanmerking komt om de Cashback-beloning te ontvangen of om deel te nemen aan de Actie, om welke reden dan ook (met inbegrip van, maar niet beperkt tot, een inbreuk op deze Algemene Voorwaarden of enige toepasselijke wet- of regelgeving, oneigenlijk gebruik van informatie met betrekking tot de Actie, fraude, poging tot fraude, of enige andere illegale of onrechtmatige activiteit), of wanneer WorldFirst kennis heeft van latere gebeurtenissen die zouden betekenen dat de Deelnemer geen recht zou hebben gehad op de ontvangst van de Cashback-beloning (met inbegrip van, maar niet beperkt tot, wanneer de transacties van een dergelijke Deelnemer werden teruggedraaid of terugbetaald), heeft WorldFirst het recht om een dergelijke Deelnemer te diskwalificeren en zal WorldFirst niet aansprakelijk zijn ten opzichte van een dergelijke Deelnemer. WorldFirst behoudt zich verder het recht voor om de Cashback-beloning terug te vorderen of de waarde van de Cashback-beloning in mindering te brengen op de World Account(s) van de Deelnemer.<\/p><p>\u00a0<\/p><\/div><div class=\"x-text x-content e6380-e27 m4x8-g m4x8-j m4x8-k m4x8-l\"><h4><strong>5. Nadere Voorwaarden<\/strong><\/h4><\/div><div class=\"x-text x-content e6380-e28 m4x8-g m4x8-j m4x8-l m4x8-m\"><p>5.1 WorldFirst behoudt zich het recht voor om naar eigen oordeel alle zaken met betrekking tot of in verband met de Actie en\/of deze Algemene Voorwaarden te bepalen en\/of te beslissen zonder voorafgaande kennisgeving. Een dergelijke vaststelling en\/of beslissing is definitief en bindend.<\/p><p>5.2 Voor zover toegestaan door de toepasselijke wetgeving behoudt WorldFirst zich het recht voor om de voorwaarden van de Actie te allen tijde aan te passen en\/of de Actie op te schorten of te annuleren, zonder enige aansprakelijkheid jegens enige partij. WorldFirst behoudt zich ook het recht voor om de Actieperiode naar eigen oordeel te verlengen en deze Algemene Voorwaarden zijn van toepassing op een dergelijke verlengde Actieperiode. Eventuele wijzigingen in de Actie zullen op de webpagina van de Actie worden gepubliceerd en\/of op gepaste wijze aan gebruikers worden bekendgemaakt. Na elke wijziging of aanpassing van deze Algemene Voorwaarden, houdt uw voortdurende deelname aan de Actie in dat u akkoord gaat met de gewijzigde Algemene Voorwaarden en de Actie die op dat moment van kracht is.<\/p><p>5.3 Het FX-tarief dat WorldFirst voor transacties biedt, moet voldoen aan de toepasselijke wet- en regelgeving. Daarom kan WorldFirst niet garanderen dat het uiteindelijk verstrekte FX-tarief het kortingsbereik weerspiegelt dat in de Actie wordt beschreven (indien van toepassing).<\/p><p>5.4 Alle FX-transacties zijn onderworpen aan standaard compliancevereisten en onderzoek.<\/p><p>5.5 Elke Deelnemer garandeert dat:<\/p><p style=\"padding-left: 40px;\">5.5.1 hij wettelijk in staat is om deel te nemen aan de Actie volgens de wet- en regelgeving die op hem van toepassing is;<\/p><p style=\"padding-left: 40px;\">5.5.2 naar zijn beste weten alle informatie die hij aan WorldFirst heeft verstrekt, volledig, waarheidsgetrouw en nauwkeurig is;<\/p><p style=\"padding-left: 40px;\">5.5.3 hij toestemming geeft om deel te nemen aan de Actie in de hoedanigheid van Deelnemer en instemt met het gebruik en het delen van zijn persoonlijke gegevens door WorldFirst in overeenstemming met het Privacybeleid van WorldFirst en de toepasselijke wetgeving ten behoeve van deze Actie; en<\/p><p style=\"padding-left: 40px;\">5.5.4 hij de Actie niet zal gebruiken op een manier die WorldFirst (naar eigen en absoluut oordeel) als onredelijk, onethisch, buitensporig of te kwader trouw beschouwt; of op een manier die in strijd is met de toepasselijke lokale, nationale of internationale wet- of regelgeving, of die op enigerlei wijze onwettig, frauduleus of onrechtmatig is, of een onwettig, frauduleus of onrechtmatig doel of gevolg heeft.<\/p><p>5.6 Deelnemers dragen alle kosten die voortvloeien uit en\/of verband houden met deelname aan de Actie.<\/p><p>5.7<strong>\u00a0Voortbestaan artikelen<\/strong>: Artikelen in deze Algemene Voorwaarden die door een rechtbank of andere bevoegde autoriteit onwettig en\/of niet-afdwingbaar worden geacht, zullen worden behandeld als afgescheiden van deze Algemene Voorwaarden en zullen geen afbreuk doen aan andere artikelen van deze Algemene Voorwaarden, die volledig van kracht blijven.<\/p><p>5.8<strong>\u00a0Rechten van derden<\/strong>: Deze Algemene Voorwaarden zijn opgesteld ten behoeve van Deelnemers aan de Actie en zijn niet bedoeld ten behoeve van derden of afdwingbaar door derden.<\/p><p>5.9 WorldFirst behoudt zich het recht voor om, naar eigen oordeel, een claim te weigeren in verband met de Cashback-beloning of Actie, als het redelijke gronden heeft om aan te nemen dat een van de relevante Deelnemers:<\/p><p style=\"padding-left: 40px;\">5.9.1 deze Algemene Voorwaarden heeft geschonden;<\/p><p style=\"padding-left: 40px;\">5.9.2 misbruik heeft gemaakt van de intellectuele eigendomsrechten van WorldFirst, waaronder handelsmerken en\/of materialen;<\/p><p style=\"padding-left: 40px;\">5.9.3 een verkeerde voorstelling van zaken heeft gegeven (nalatig of frauduleus);<\/p><p style=\"padding-left: 40px;\">5.9.4 misbruik heeft gemaakt van de Actie; en\/of<\/p><p style=\"padding-left: 40px;\">5.9.5 betrokken is bij illegale of criminele activiteiten, waaronder fraude, in verband met de Actie of een aanvraag voor diensten van WorldFirst.<\/p><p>5.10 De World Account Voorwaarden en de World Card Voorwaarden zijn van toepassing op een Deelnemer en dienen samen met deze Algemene Voorwaarden gelezen te worden. Raadpleeg de World Account Voorwaarden en de World Card Voorwaarden voor meer informatie. In geval van tegenstrijdigheid of inconsistentie tussen deze Algemene Voorwaarden en de World Account Voorwaarden of World Card Voorwaarden, prevaleren deze Algemene Voorwaarden alleen voor zover het zaken betreft die betrekking hebben op de Actie. In het geval van tegenstrijdigheden of inconsistenties tussen deze Algemene Voorwaarden en enige voorwaarden in enig marketingmateriaal dat is opgesteld voor de Actie, prevaleren deze Algemene Voorwaarden. Hoewel alle informatie die hierin wordt verstrekt, correct en betrouwbaar wordt geacht op het moment van afdrukken of publiceren of online plaatsen, geeft WorldFirst geen verklaring of garantie, expliciet of impliciet, en aanvaardt geen verantwoordelijkheid of betrouwbaarheid voor de volledigheid of nauwkeurigheid ervan.<\/p><p>5.11 Voor zover toegestaan door de toepasselijke wetgeving, zal WorldFirst of een van haar gelieerde ondernemingen onder geen enkele omstandigheid aansprakelijk zijn op grond van een onrechtmatige daad, contract, strikte aansprakelijkheid of andere wettelijke of billijke theorie voor gederfde winst, indirecte, incidentele, speciale, gevolg-, voorbeeld- of bestraffende schade, waarvan elk is uitgesloten bij overeenkomst tussen WorldFirst en u, ongeacht of dergelijke schade voorzienbaar was of dat WorldFirst of een persoon is geadviseerd over de mogelijkheid van dergelijke schade. Niettegenstaande andersluidende artikelen in deze Algemene Voorwaarden zal de cumulatieve aansprakelijkheid van WorldFirst, met inbegrip van claims, onkosten, schade of vrijwaringsverplichtingen onder of in verband met haar verplichtingen onder deze Algemene Voorwaarden, niet meer bedragen dan USD 500.000. In geen geval zullen WorldFirst, haar gelieerde bedrijven, agenten, vertegenwoordigers, directeuren, functionarissen of werknemers aansprakelijk zijn voor enig handelen of nalaten als gevolg van omstandigheden buiten hun redelijke controle. Voor zover toegestaan door de toepasselijke wetgeving, doet u hierbij afstand van alle rechten om een claim of actie in te dienen in verband met deze Actie na \u00e9\u00e9n (1) jaar vanaf het eerste optreden van de handeling, gebeurtenis, omstandigheid of nalatigheid waarop een dergelijke claim of actie is gebaseerd.<\/p><p>5.12<strong>\u00a0Toepasselijk recht en geschillenbeslechting<\/strong>: Deze Algemene Voorwaarden worden beheerst door en ge\u00efnterpreteerd in overeenstemming met Nederlands recht. Alle geschillen die voortvloeien uit of in verband staan met deze Algemene Voorwaarden, met inbegrip van vragen over het bestaan, de geldigheid of de be\u00ebindiging ervan, zullen worden voorgelegd aan en uiteindelijk beslecht door arbitrage beheerd door het ICC in overeenstemming met het Arbitragereglement van de Internationale Kamer van Koophandel dat op dat moment van kracht is en dat geacht wordt door middel van verwijzing in dit artikel te zijn opgenomen. De zetel van de arbitrage is Parijs.
