By participating in the Promotion, you confirm that you accept these Terms and Conditions and agree to comply with them.<\/p><p>\u00a0<\/p><h4>1. Definitions and Interpretation<\/h4><p>In these Terms and Conditions, the following words and expressions shall have the following meanings:<\/p><p>1.1 &#8220;<strong>Eligible Transaction<\/strong>&#8221; means any of the following:<\/p><p style=\"padding-left: 40px;\">1.1.1 receipt of one or more payments totaling an aggregate amount of at least USD200 (or the equivalent in a different currency) in connection with transactions on marketplaces;<\/p><p style=\"padding-left: 40px;\">1.1.2 one or more payments totaling an aggregate amount of at least USD1000 (or the equivalent in a different currency) from the Referred Person\u2019s World Account to a third-party bank account;<\/p><p style=\"padding-left: 40px;\">1.1.3 one or more payments totaling an aggregate amount of at least USD1000 (or the equivalent in a different currency) in connection with transactions on 1688.com using the World Pay feature in the Referred Person\u2019s World Account;<\/p><p>1.2 &#8220;<strong>FX<\/strong>&#8221; shall have the meaning given to such term in clause 6;<\/p><p>1.3 &#8220;<strong>Partner<\/strong>&#8221; shall have the meaning given to such term in clause 2;<\/p><p>1.4 &#8220;<strong>Promotion<\/strong>&#8221; shall have the meaning given to such term in clause 1;<\/p><p>1.5 &#8220;<strong>Promotion Period<\/strong>&#8221; shall have the meaning given to such term in clause 3;<\/p><p>1.6 &#8220;<strong>Referral Link<\/strong>&#8221; shall have the meaning given to such term in clause in clause 1;<\/p><p>1.7 &#8220;<strong>Referrer<\/strong>&#8221; shall have the meaning given to such term in clause in clause 1;<\/p><p>1.8 &#8220;<strong>Referred Person<\/strong>&#8221; shall have the meaning given to such term in clause 2;<\/p><p>1.9 \u201c<strong>Referred Person\u2019s Reward<\/strong>\u201d shall have the meaning given to such term in clause 1;<\/p><p>1.10 \u201c<strong>Referred Person\u2019s Reward Criteria<\/strong>\u201d shall have the meaning given to such term in clause 1;<\/p><p>1.11 &#8220;<strong>Referrer&#8217;s Reward<\/strong>&#8221; shall have the meaning given to such term in clause 1;<\/p><p>1.12<strong> \u201cReferrer\u2019s Reward<\/strong><strong> Criteria<\/strong>&#8221; shall have the meaning given to such term in clause 1;<\/p><p>1.13 \u201c<strong>SIAC<\/strong>\u201d means the Singapore International Arbitration Centre;<\/p><p>1.14<strong> \u201cUSD\u201d <\/strong>means United States Dollars;<\/p><p>1.15 &#8220;<strong>World Account Terms<\/strong>&#8221; means all of the prevailing terms and conditions, including the privacy policies, governing the World Account service provided by WorldFirst; and<\/p><p>1.16 &#8220;<strong>WorldFirst<\/strong>&#8221; refers to Alipay Merchant Services Pte. Ltd. and\/or its affiliates.<\/p><p>\u00a0<\/p><h4>2. Description of the Promotion<\/h4><p>2.1 During the Promotion Period, a Referrer will be provided with a unique referral link (a \u201c<strong>Referral Link<\/strong>\u201d) via the WorldFirst portal, which it can share with Partners in order to invite each of them to participate in the Promotion as a Referred Person (the \u201c<strong>Promotion<\/strong>\u201d).<\/p><p>2.2 The Referral Link will direct each Referred Person to the WorldFirst website in order for it to register as a new user and open a World Account.<\/p><p>2.3 If a Referred Person satisfies the Reward Criteria, the relevant Referrer may be eligible to receive the Referrer&#8217;s Reward.<\/p><p>2.4 If a Referred Person satisfies the Referred Person\u2019s Reward Criteria, such Referred Person may be eligible to receive the Referred Person\u2019s Reward.<\/p><p>\u00a0<\/p><h4>3. Promotion Period<\/h4><p>3.1 The \u201c<strong>Promotion Period<\/strong>\u201d is the period beginning on 12 December 2024 and ending on 31 March 2025 (both days, inclusive).<\/p><p>\u00a0<\/p><h4>4. Referrers and Referred Persons<\/h4><p>4.1 Only existing WorldFirst customers who are registered in the countries or regions approved by Alipay Merchant Services Pte. Ltd., from time to time, and who have passed WorldFirst\u2019s verification checks, can be referrers for the purposes of the Promotion (\u201c<strong>Referrers<\/strong>\u201d).<\/p><p>4.2 Any eligible Partner who is not an existing WorldFirst customer and who receives a Referral Link from a Referrer can be a Referred Person for the purposes of the Promotion (each, a &#8220;<strong>Referred Person<\/strong>&#8220;). For these purposes, &#8220;<strong>Partner<\/strong>&#8221; shall mean a corporation, company, entity or person of any kind or nature, that is eligible to be a customer of WorldFirst.<\/p><p>4.3 Partners must be based in a jurisdiction approved by WorldFirst, such as Singapore.<\/p><p>\u00a0<\/p><h4>5. Referrer&#8217;s Reward<\/h4><p>5.1 A Referrer may be eligible to receive a cash bonus reward of USD200 per the \u201c<strong>Referrer&#8217;s<\/strong><strong> Reward<\/strong>\u201d), provided:<\/p><p style=\"padding-left: 40px;\">5.1.1 the relevant Referred Person is not an existing WorldFirst customer and has not applied for a World Account prior to the date of the referral;<\/p><p style=\"padding-left: 40px;\">5.1.2 the relevant Referred Person successfully registers for a new World Account through the Referral Link shared by such Referrer during the Promotion Period and completes WorldFirst\u2019s authentication and review process; and<\/p><p style=\"padding-left: 40px;\">5.1.3 the relevant Referred Person then successfully carries out an Eligible Transaction within 90 calendar days of it successfully registering for a new World Account and completing the authentication and review process under clause 1.2 above,<\/p><p style=\"padding-left: 40px;\">(collectively, the &#8220;<strong>Referrer\u2019s Reward Criteria<\/strong>&#8220;). \u00a0<\/p><p>5.2 The following will not constitute an Eligible Transaction:<\/p><p style=\"padding-left: 40px;\">5.2.1 withdrawals or transfers from the Referred Person\u2019s World Account to the Referred Person\u2019s linked bank account;<\/p><p style=\"padding-left: 40px;\">5.2.2 payments through \u201cWorldTrade\u201d from the Referred Person\u2019s World Account;<\/p><p style=\"padding-left: 40px;\">5.2.3 payments from the Referred Person\u2019s World Account to a different World Account or a WorldFirst receiving account;<\/p><p style=\"padding-left: 40px;\">5.2.4 funds in transactions into the Referred Person\u2019s World Account from payment service providers or payment gateways.<\/p><p>5.3 The Referrer&#8217;s Reward shall be credited to the Referrer\u2019s World Account by the final working day of the month following the month in which the Referred Person satisfies the Referrer\u2019s Reward Criteria and successfully passes WorldFirst&#8217;s review process. Such World Account must be valid, open and functioning, and must not be suspended, canceled, and\/or terminated, at the time the Referrer&#8217;s Reward is credited to such account.<\/p><p>5.4 WorldFirst has the sole discretion to delay or cancel the crediting of the Referrer&#8217;s Reward, for any reason that it deems appropriate, including for the purposes of assessing the eligibility of the relevant Referrer.<\/p><p>5.5 The Referrer does not act on behalf of WorldFirst in any capacity. As such, the Referrer is not authorised to and cannot:<\/p><p style=\"padding-left: 40px;\">5.5.1 provide advice with regards to WorldFirst products or services, which includes making recommendations or statements of opinion which are intended to influence, or which could reasonably be regarded as being intended to influence, the Referred Person in making a decision in relation to WorldFirst products or services;<\/p><p style=\"padding-left: 40px;\">5.5.2 be involved in conduct that is misleading or deceptive, or likely to mislead or deceive, in relation to WorldFirst products or services;<\/p><p style=\"padding-left: 40px;\">5.5.3 deal in any financial products or services on behalf of WorldFirst; and<\/p><p style=\"padding-left: 40px;\">5.5.4 arrange for a Referred Person to deal in WorldFirst products or services.<\/p><p>5.6 Each opening of a World Account and each foreign exchange (&#8220;<strong>FX<\/strong>&#8220;) transaction is subject to standard compliance requirements and due diligence by WorldFirst.<\/p><p>5.7 Each Referrer warrants that:<\/p><p style=\"padding-left: 40px;\">5.7.1 it is fully authorised, and legally able, to participate in the Promotion according to the laws and regulations applicable to it;<\/p><p style=\"padding-left: 40px;\">5.7.2 to the best of its knowledge, all information disclosed by it to WorldFirst is complete, true and accurate;<\/p><p style=\"padding-left: 40px;\">5.7.3 it consents to participate in the Promotion in the capacity of Referrer and consents to the use and sharing of its personal data by WorldFirst in accordance with WorldFirst&#8217;s Privacy Policy and applicable laws for the purpose of the Promotion; and<\/p><p style=\"padding-left: 40px;\">5.7.4 it will not use the Promotion in any way that WorldFirst (in its sole and absolute discretion) considers to be unreasonable, unethical, excessive, or in bad faith; or in any way that breaches any applicable local, national, or international law or regulation, or that is in any way unlawful, fraudulent, or wrongful, or has any unlawful, fraudulent, or wrongful purpose or effect.<\/p><p>5.8 The Referrer&#8217;s Reward is not transferable or exchangeable for credit, products, or privileges or other benefits or payments in kind, whether in full or in part, and is not refundable or replaceable.<\/p><p>5.9 Should WorldFirst determine, in its sole discretion, that a Referrer is not eligible to receive the Referrer&#8217;s Reward or to participate in the Promotion for any reason (including but not limited to a breach of these Terms and Conditions or any applicable laws or regulations, improper use of any information relating to the Promotion, fraud, attempted fraud, or any other illegal or illegitimate activity), or where WorldFirst has knowledge of subsequent events which would mean that the Referrer would not have been entitled to receive the Referrer&#8217;s Reward (including but not limited to where the transactions of the Referred Person were reversed or refunded), WorldFirst has the right to disqualify such Referrer and shall not be liable to any such Referrer. WorldFirst further reserves the right to claw back the Referrer&#8217;s Reward or to deduct the value of the Referrer&#8217;s Reward from the Referrer&#8217;s World Account(s).<\/p><p>\u00a0<\/p><h4>6. Referred Person\u2019s Reward<\/h4><p>6.1 During the Promotion Period, a Referred Person will be entitled to receive a cash bonus reward of USD200 (\u201c<strong>Referred Person\u2019s Reward<\/strong>\u201d), provided that it successfully:<\/p><p style=\"padding-left: 40px;\">6.1.1 registers for a new World Account through the Referral Link shared by a Referrer;<\/p><p style=\"padding-left: 40px;\">6.1.2 completes WorldFirst\u2019s authentication and review process; and<\/p><p style=\"padding-left: 40px;\">6.1.3 carries out an Eligible Transaction within 90 calendar days of it successfully registering for a new World Account,<\/p><p style=\"padding-left: 40px;\">(collectively, the \u201c<strong>Referred Person\u2019s Reward Criteria<\/strong>\u201d).<\/p><div class=\"lake-content\"><p id=\"ue4672093\" class=\"ne-p\"><span class=\"ne-text\">6.2\u00a0\u00a0The Referred Person\u2019s Reward is subject to a limit of 50 Referred Persons referred by each Referrer during the Promotion Period. Once the Referrer has referred 50 Referred Persons, no further Referred Person will be eligible for the Referred Person\u2019s Reward under the account of the said Referrer.<\/span><\/p><\/div><p>6.3 The Referred Person&#8217;s Reward shall be credited to the Referred Person\u2019s World Account by the final working day of the month following the month in which the Referred Person satisfies the Referred Person\u2019s Reward Criteria and successfully passes WorldFirst&#8217;s review process. Such World Account must be valid, open and functioning, and must not be suspended, canceled, and\/or terminated, at the time the Referred Person&#8217;s Reward is credited to such account.<\/p><p>6.4 Should WorldFirst determine, in its sole discretion, that a Referred Person is not eligible to receive the Referred Person\u2019s Reward or to participate in the Promotion for any reason (including but not limited to a breach of these Terms and Conditions or any applicable laws or regulations, improper use of any information relating to the Promotion, fraud, attempted fraud, or any other illegal or illegitimate activity), or where WorldFirst has knowledge of subsequent events which would mean that the Referred Person would not have been entitled to receive the Referred Person\u2019s Reward (including but not limited to where the transactions of such WorldFirst customer were reversed or refunded), WorldFirst has the right to disqualify such Referred Person and shall not be liable to any such Referred Person. WorldFirst further reserves the right to claw back the value of the Referred Person\u2019s Reward or to deduct the value of the Referred Person\u2019s Reward from the Referred Person\u2019s World Account(s).<\/p><p>\u00a0<\/p><h4>7. Further Terms<\/h4><p>7.1 WorldFirst reserves the right to, in its sole discretion, determine and\/or decide all matters relating to or arising in connection with the Promotion and\/or these Terms and Conditions without prior notice. Any such determination and\/or decision will be final and binding.<\/p><p>7.2 To the extent permitted by applicable law, WorldFirst reserves the right to amend the terms of the Promotion, and\/or to suspend or cancel the Promotion at any time, without liability to any party. WorldFirst also reserves the right to extend the Promotion Period in its discretion and these Terms and Conditions shall apply to any such extended Promotion Period. Any amendments to the Promotion will be published on the Promotion webpage and\/or notified to participants in an appropriate manner. Following any change or amendment to these Terms and Conditions, your continued participation in the Promotion constitutes your acceptance of the amended Terms and Conditions and the Promotion in force at that time.<\/p><p>7.3 The FX rate that WorldFirst provides for transactions must comply with applicable laws and regulations. Therefore, WorldFirst cannot guarantee that any FX rate finally provided will reflect the discount range described in the Promotion.<\/p><p>7.4 Each opening of a World Account and each FX transaction is subject to WorldFirst\u2019s standard compliance and due diligence requirements.<\/p><p>7.5 Each participant in the Promotion warrants that:<\/p><p style=\"padding-left: 40px;\">7.5.1 it is legally able to participate in the Promotion according to the laws and regulations applicable to it, and that it is fully authorised to do so;<\/p><p style=\"padding-left: 40px;\">7.5.2 to the best of its knowledge, all information disclosed by it to WorldFirst is complete, true and accurate;<\/p><p style=\"padding-left: 40px;\">7.5.3 it consents to participate in the Promotion in the capacity of participant;<\/p><p style=\"padding-left: 40px;\">7.5.4 it consents to the use and sharing of its personal data by WorldFirst in accordance with WorldFirst\u2019s Privacy Policy and applicable laws, and the sharing of its personal data between WorldFirst, for the purposes of the Promotion; and<\/p><p style=\"padding-left: 40px;\">7.5.5 it will not use the Promotion in any way that WorldFirst (in its sole and absolute discretion) considers to be unreasonable, unethical, excessive, or in bad faith; or in any way that breaches any applicable local, national, or international law or regulation, or that is in any way unlawful, fraudulent, or wrongful, or has any unlawful, fraudulent, or wrongful purpose or effect.<\/p><p>7.6 Persons participating in the Promotion shall bear all expenses (including any tax liability) arising from and\/or in connection with participating in the Promotion.<\/p><p>7.7<strong> Severability<\/strong>: Any clauses in these Terms and Conditions determined by any court or other competent authority to be unlawful and\/or unenforceable will be treated as severed from these Terms and Conditions and will not invalidate other clauses of these Terms and Conditions, which will continue in full effect.<\/p><p>7.8<strong> Third Party Rights<\/strong>: These Terms and Conditions are made for the benefit of participants of the Promotion, and are not intended to benefit any third party or be enforceable by any third party.<\/p><p>7.9 WorldFirst reserves the right, at its sole discretion, to refuse a claim in connection with the Referrer&#8217;s Reward or the Referred Person\u2019s Reward, if it has reasonable grounds to believe that any relevant participant has:<\/p><p style=\"padding-left: 40px;\">7.9.1 breached these Terms and Conditions;<\/p><p style=\"padding-left: 40px;\">7.9.2 misused WorldFirst&#8217;s intellectual property rights including trademarks and\/or materials;<\/p><p style=\"padding-left: 40px;\">7.9.3 made any misrepresentations (negligently or fraudulently);<\/p><p style=\"padding-left: 40px;\">7.9.4 abused the Promotion; and\/or<\/p><p style=\"padding-left: 40px;\">7.9.5 engaged in any illegal or criminal activity including fraud in connection with the Promotion or any application for WorldFirst services.<\/p><p>7.10 The World Account Terms shall apply to existing WorldFirst customers and are to be read together with these Terms and Conditions. Please refer to the World Account Terms for further information. In the event of any conflict or inconsistency between these Terms and Conditions and any of the World Account Terms, these Terms and Conditions shall prevail only to the extent of matters relating to the Promotion. In the event of any conflict or inconsistency between these Terms and Conditions and any terms set out in any marketing materials prepared for the Promotion, these Terms and Conditions shall prevail. While all information provided herein is believed to be correct and reliable at the time of printing or publishing or posting online, WorldFirst makes no representation or warranty whether expressed or implied, and accepts no responsibility or reliability for its completeness or accuracy.<\/p><p>7.11 To the fullest extent permitted by applicable law, under no circumstances will WorldFirst or any of its affiliates be liable under any theory of tort, contract, strict liability or other legal or equitable theory for lost profits, indirect, incidental, special, consequential, exemplary, or punitive damages, each of which is excluded by agreement between WorldFirst and you regardless of whether such damages were foreseeable or whether WorldFirst or any person has been advised of the possibility of such damages. Notwithstanding anything in these Terms and Conditions to the contrary, WorldFirst&#8217;s cumulative liability, including for claims, expenses, damages or indemnity obligations under or in connection with its obligations under these Terms and Conditions, will not exceed USD500,000. In no event shall WorldFirst, its affiliates, agents, representatives, directors, officers, or employees be liable for any act or omission resulting from circumstance beyond their reasonable control. To the fullest extent permitted by applicable law, you hereby waive any and all rights to bring any claim or action related to the Promotion beyond one (1) year from the first occurrence of the act, event, condition or omission on which such claim or action is based.<\/p><p>7.12<strong> Governing law and dispute resolution<\/strong>: Any dispute arising out of or in connection with these Terms and Conditions and\/or the Promotion, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the SIAC in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (&#8220;SIAC Rules&#8221;) for the time being in force, which rules are deemed to be incorporated by reference in this clause.
